Agreement and Eligibility

Price Axiom is operated by BytWorx LLC (“we,” “us,” or “our”). These Terms of Service are an agreement between you and us. They govern your access to and use of the Price Axiom website, accounts, software, documentation, downloads, support, and related services. By creating an account, requesting a download, purchasing, or using a product, you agree to these Terms and the policies incorporated below. If you do not agree, do not access or use the applicable service.

You represent that you have reached the age of legal majority where you live and have legal capacity to enter into this agreement. If you use Price Axiom for an organization, you represent that you have authority to bind it.

Accounts and Security

You must provide accurate account and purchase information, keep it current, protect your credentials and license information, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless applicable law provides otherwise. Accounts and entitlements may not be shared, transferred, or used to evade product licensing limits.

Products and License

Price Axiom software is licensed, not sold. A valid purchase or approved free entitlement grants only the usage rights described in the License Agreement, which is incorporated into these Terms. Product descriptions, system requirements, documentation, supported lifetime, and any product-specific terms also apply.

Orders, Payment, Taxes, and Fulfillment

Paid checkout is handled by the payment provider identified at checkout, currently Whop. That provider may act as payment processor or merchant of record and may apply its own checkout terms. Prices are shown in the stated currency and may exclude taxes, VAT, duties, currency-conversion charges, or other amounts calculated at checkout.

You authorize the checkout provider to charge the selected amount and confirm that the billing information you submit is accurate. Fulfillment may include an account entitlement, download access, license issuance, activation instructions, or a combination of these. We may refuse, cancel, or refund an order affected by fraud, abuse, a material pricing or configuration error, or legal restrictions.

Digital-product refund eligibility is governed by the Refund Policy. Nothing in these Terms limits non-waivable consumer rights.

Trading Risk and No Advice

Futures, forex, and other trading involve substantial risk of loss. Price Axiom provides software and informational workflow tools, not investment, brokerage, legal, tax, medical, or psychological advice. We do not recommend trades, promise results, manage accounts, or guarantee profitability, discipline, compliance, or loss prevention.

You retain sole control over trading decisions, orders, account selection, risk limits, configuration, monitoring, and compliance with broker, exchange, prop-firm, and legal requirements. Review the complete Trading Risk Disclosure and Disclaimers before using the products.

Risk-Control and Operational Limitations

Alerts, limits, cancellation, flattening, lockout, sizing, monitoring, and other risk-control or enforcement features are user-configured software aids. They are not broker-, exchange-, or clearing-level controls. Connectivity loss, data-feed delays, latency, market gaps, slippage, order rejections, partial fills, configuration errors, platform or broker behavior, operating system or hardware failures, and other conditions may delay or prevent an alert, cancellation, flattening, lockout, calculation, or other action.

Price Axiom cannot guarantee compliance with account or prop-firm limits, successful order cancellation or position flattening, continuous enforcement, or prevention of losses. You must monitor accounts, verify product settings and actual broker state, and maintain independent risk controls.

Third-Party Services and Dependencies

Products may depend on NinjaTrader, Windows, market-data providers, brokers, exchanges, licensing services, internet access, checkout providers, or other third parties that Price Axiom does not control. Their outages, updates, policies, data, fees, eligibility rules, and technical behavior may affect product availability or operation. References to third-party names or trademarks do not imply sponsorship or endorsement.

Acceptable Use

You may not:

• Use the services unlawfully, fraudulently, or to harm another person
• Share, resell, sublicense, or circumvent an account, entitlement, or license
• Interfere with service operation, security, rate limits, or access controls
• Upload malicious code or attempt unauthorized access to systems or data
• Reverse engineer or extract source code except to the limited extent a non-waivable law expressly permits it
• Misrepresent affiliation with Price Axiom or misuse our intellectual property

Intellectual Property and Feedback

Price Axiom and its licensors retain all rights in the software, website, documentation, designs, trademarks, and related materials except for the limited license expressly granted to you. If you voluntarily provide product feedback, you permit us to use it without restriction or compensation, but this does not transfer ownership of your personal trading data or support materials.

Availability, Updates, and Support

We may maintain, update, modify, suspend, or discontinue website or service features. Purchased software rights and included updates remain subject to the License Agreement and the supported lifetime described for the product. Support is provided through the channels and scope described on the website; response times and resolution are not guaranteed.

Warranty Disclaimer

To the fullest extent permitted by law, the website, software, documentation, downloads, and related services are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or error-free operation. We do not warrant that software output is complete, timely, or suitable as the sole basis for any trading or risk decision.

Limitation of Liability

To the fullest extent permitted by law, Price Axiom and its members, managers, employees, and contractors acting on its behalf will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, trading losses, loss of capital, loss of data, missed opportunities, or business interruption arising from or related to the services.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any non-waivable rights or remedies available under applicable law.

Suspension and Termination

We may suspend or terminate access when reasonably necessary to address a material breach, fraud, abuse, security risk, nonpayment, or legal requirement. Termination does not eliminate obligations or rights that by their nature survive, including payment obligations, intellectual-property protections, warranty disclaimers, and liability limitations. License termination is also governed by the License Agreement.

General Terms

These Terms, the License Agreement, Refund Policy, Privacy Policy, and incorporated product-specific terms form the agreement governing the applicable services. If one provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision is not a waiver. Headings are for convenience only.

Changes to These Terms

We may update these Terms as products, providers, or legal requirements change. The updated page will show a new effective date. We will provide reasonable additional notice of material changes when appropriate, and seek further consent where required by law. Changes do not retroactively alter a completed purchase unless the applicable agreement or law permits it.
