License Agreement

Acceptance

This License Agreement is between you and Price Axiom (“we,” “us,” or “our”). It governs each Price Axiom software product and associated update, documentation, download, or component you receive. By downloading, installing, activating, or using software, you accept this agreement and the Terms of Service. If you do not agree, do not install or use the software.

License Grant

Subject to a valid paid or approved free entitlement and continued compliance with this agreement, Price Axiom grants you a limited, non-exclusive, non-transferable, non-sublicensable license within the user, device, account, term, and update scope stated in the product description, order, or other product-specific terms. Within that scope, you may:

• Use the software for personal use or internal business use
• Install it on multiple machines owned or controlled by that user
• Receive updates expressly included with the acquired product or offer
• For a product expressly sold with a perpetual license, continue using the acquired software version subject to this agreement and third-party compatibility

Unless the product-specific terms state a different device limit, a license sold for one user may be installed on multiple machines owned or controlled by that same user, but may not be shared with another user. Product-specific terms control if they state a different seat, device, account, subscription, support, or update scope.

A perpetual license means the right to use the licensed version does not expire solely because time passes. It does not guarantee perpetual updates, support, online services, third-party compatibility, or availability of activation infrastructure.

Account, Activation, and License Controls

Software access may require a Price Axiom account, matching purchase email, license key, NinjaTrader email authorization, online activation, entitlement verification, or reasonable device and abuse controls. You must keep credentials and license information confidential and may not share or rotate them to provide access to another user. Activation changes, machine changes, and recovery requests may be subject to documented security limits or support verification.

Restrictions

You may not:

• Redistribute, publish, rent, lease, resell, or sublicense the software
• Share a license, account, download, or activation with another user
• Bypass, disable, tamper with, or evade licensing or access controls
• Remove or alter proprietary notices, branding, or attribution
• Use the software or documentation for an unlawful or fraudulent purpose
• Reverse engineer, decompile, or disassemble the software except to the limited extent a non-waivable law expressly permits it
• Use the software to create or distribute a substantially similar competing product through unauthorized copying of protected expression or code

Ownership and User Data

Price Axiom and its licensors retain all intellectual-property rights in the software and documentation. This agreement grants usage rights, not ownership of the software. Your trading records, notes, configurations, and other original user content remain yours. You are responsible for maintaining appropriate backups and for deciding what information to submit through support channels.

Trading and Risk-Control Limitations

Trading involves substantial risk of loss. The software is a user-configured aid and is not investment advice, a broker, an exchange, or a guaranteed risk-control system. Alerts, position sizing, monitoring, cancellation, flattening, and lockout features may be delayed, incomplete, or prevented by connectivity loss, data-feed delays, latency, market gaps, slippage, order rejections, partial fills, configuration errors, platform or broker behavior, or system failures.

The software does not guarantee compliance with account or prop-firm limits, successful order cancellation or position flattening, continuous operation, or prevention of losses. You must monitor your accounts, verify actual broker state and settings, and maintain independent risk controls. See the Trading Risk Disclosure and Disclaimers.

Third-Party Requirements

Software may require compatible versions of Windows, NinjaTrader, market data, broker connections, internet service, licensing services, or other third-party systems. Those systems are governed by their own terms and can change or fail independently of Price Axiom. You are responsible for obtaining and maintaining required third-party accounts, permissions, hardware, software, and data subscriptions.

Updates, Support, and End of Support

During a product's supported lifetime, we may release updates, fixes, or compatibility changes at our discretion. An update may replace or modify a prior version. Support is provided through the published support channels on a reasonable-effort basis. We may end support or stop releasing updates with reasonable notice when practicable. Optional future services, add-ons, hosted features, or subscriptions may require separate terms and fees.

Warranty Disclaimer

To the fullest extent permitted by law, the software and documentation are provided “as is” and “as available,” without express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, or error-free results. Nothing in this agreement excludes a warranty or remedy that applicable law does not allow us to exclude.

Termination

This license continues until terminated. We may suspend or terminate it for a material breach, license sharing or circumvention, fraud, abuse, nonpayment, or a legal or security requirement. Where appropriate, we may provide an opportunity to cure a remediable breach. Upon termination, you must stop using and delete all copies of the affected software. Provisions concerning ownership, restrictions, disclaimers, and liability survive termination.
